Terms of sale

These terms summarise the commercial framework for orders placed with Zhuzhou Soonmao Furniture Co., Ltd. ("Soonmao", "we"). A detailed contract is issued with each confirmed order; where this page and a signed order differ, the order prevails.

1. Quotations

Quotations are valid for 30 days unless stated otherwise and are given FOB the named port. They are based on the specifications, quantities and finishes confirmed at quotation. Changes to any of these are re-quoted before production.

2. Samples

Production samples are built to confirm material, colour, weave density and comfort. Approval of a sample authorises production to that specification. Changes after sample approval may affect price and lead time.

3. Orders & deposit

Orders are confirmed on receipt of a deposit, typically 30%. Production begins after sample approval and deposit. The balance is due against the shipping documents or before container release, as agreed.

4. Lead time

Sample lead time is 7–10 days; production is 30–45 days after sample approval. Lead times are estimates based on current capacity and may shift with order volume. Confirmed dates are stated on the order.

5. Quality & inspection

Every order passes three QC checkpoints — bare frame, pre-finish and packed carton — with photo reports. Buyers may arrange a third-party inspection before loading at their cost.

6. Shipping & risk

Risk passes to the buyer on loading at the FOB port. We provide packing lists, invoices and any required certificates. Claims for transit damage are handled under the carrier's insurance with our assistance.

7. Intellectual property

Drawings, samples and specifications you supply remain yours. We do not sell a buyer's custom design to third parties. Our catalogue designs remain the property of Soonmao.

8. Governing terms

Disputes are resolved under the laws of the jurisdiction agreed in the order. This summary does not replace the detailed contract issued with each order.
